Position Impact

This role is expected to provide consultative and advisory solutions to the organizations on legal matters related to the merger, acquisition, and divestiture of companies and assets. Partnering with the business stakeholders, this M&A lawyer serves as the primary point of contact for the rest of the deal team and has principal responsibility for shepherding the transaction to closing.

Responsibilities

  • Lead and manage legal aspects of M&A transactions, including due diligence, negotiation, drafting, and review of transaction documents, such as letters of intent, purchase agreements, and disclosure schedules.
  • Provide strategic legal advice to senior management and business teams on M&A matters, including structuring, regulatory compliance, risk assessment, and potential legal implications.
  • Conduct thorough legal due diligence to identify potential legal issues, risks, and liabilities associated with target companies or assets.
  • Ensure compliance with relevant laws, regulations, and industry standards throughout the M&A process, addressing antitrust, competition, securities, and other regulatory considerations.
  • Lead negotiations with external parties, including counterparties, legal counsel, regulatory authorities, and other stakeholders involved in M&A transactions.
  • Collaborate with cross-functional teams to develop integration plans for post-transaction operations, addressing legal, operational, and cultural aspects.
  • Oversee the management and maintenance of contract templates, agreements, and other legal documentation related to M&A activities.
  • Identify, assess, and mitigate legal risks associated with M&A transactions, and develop strategies to protect the company's interests.

Requirements

  • Law degree in Taiwan; LL.M. degree from a foreign jurisdiction a plus.
  • At least 8 years post-qualification experience, 2+ years of which as in-house counsel, preferably with listed or multi-national companies.
  • Significant experience in corporate law, mergers and acquisitions, and related areas is essential.
  • Demonstrated expertise in structuring, negotiating, and executing M&A transactions, including familiarity with various deal structures, valuation methods, and legal frameworks.
  • Ability to provide strategic legal advice that aligns with the company's business goals and objectives.
  • Strong written and verbal communication skills, with the ability to effectively communicate complex legal concepts to non-legal stakeholders.
  • In-depth understanding of relevant laws, regulations, and compliance requirements related to M&A transactions.
  • Excellent analytical and problem-solving skills to identify and address legal issues and risks.
  • High ethical standards and a commitment to maintaining the confidentiality and integrity of sensitive information.
  • Open-minded, passionate, and motivated to tackle complicated issues.
  • Excellent team player and good communication skills.
